• Monitoring of emerging/pending regulation and legislation (Parliament, Government, trade associations, EU), and evaluation of their impact on the Group’s businesses; coordination of external legal and lobbying counsels on public policy related issues • Institutional relations with key policymakers and authorities: - Creation of economical/legal comment letters, talking points, and draft amendments - Management of the relationship with the French TV regulatory agency (CSA): answers to their questions, surveys (compliance, advertising, cultural diversity, etc.) and calls for applications - Participation in negotiations with TV and movie producers trade associations: TF1’s production commitments, media chronology rules, etc. • Management of competition and litigation topics: - Competitive intelligence, creation of persuasive arguments and talking points about the Group’s and its competitors’ position in the market - Guidance in connection with matters related to M&A transactions and integration: definition of processes, training of the teams affected by the commitments – On air, programming, acquisitions, HR, ad sales, etc. – relationship with the audit firm appointed by the French Competition agency - Management of litigations (complaints of competitors, Authority’s decisions) and appeals, interaction with external legal counsel
• Development of new lines of business and activities: - Identification of relevant target industries & companies (benchmark, market studies, interviews) - Analysis of the optimum contractual terms (media for equity, minority investment, acquisition, JV) - Recommendation on the investment decision (business plan, development perspectives) • Support for the launch of new business activities: - Management of communication campaigns (definition of brand assets and messages, pluri-media buying, return on investment analyses) - Projects hand-over to the Group’s operational teams: TF1 Enterprises (licensing, games, music), eTF1 (digital), TeleShopping (e-commerce), TF1 Video (DVD, VOD) - Regular performance analyses/reporting of the new activities; trade-off recommendations • Monitoring of the European media groups’ diversifications
• Monitoring of the entertainment and media industries and competitors for the Strategy and Development Division • Business analyses and recommendations for the Top Management • Contributions towards development projects (strategic and financial due diligences of target industries & companies)
